Participation Agreement & Program Terms
This Participation Agreement & Program Terms (“Agreement”) governs enrollment and participation in the Design Miwa Branding DNA Intensive (“Intensive”), a structured, strategy-first program facilitated by Design Miwa (“Design Miwa”). By enrolling in the Intensive and submitting payment, the participant (“Participant”) agrees to the terms outlined below.
1. Program Scope and Purpose
The Branding DNA Intensive is a strategy-first, interpretation-led working experience designed to help participants clarify, document, and align the vision their brand is responsible for carrying. The Program focuses on meaning, responsibility, coherence, and interpretive clarity prior to any design, marketing, or visual execution work.
The Program is not a design workshop, a marketing program, a coaching engagement, or a creative execution service. No visual identity, logo design, brand assets, or production deliverables are created as part of the Program. Design Miwa’s role is limited to structured facilitation and professional interpretation of materials submitted by the Participant within the defined boundaries of the program.
2. Program Format & Participation
The Program is delivered in a live, virtual, small-cohort, or private format, as specified at enrollment. Participation includes guided working sessions, structured documentation, and facilitated discussion. Participation in the Intensive is governed by the program structure, timelines, and requirements established by Design Miwa. Enrollment does not create a partnership, joint venture, or collaborative relationship.
Participants are expected to:
- Attend scheduled sessions in full
- Complete required documentation accurately and on time
- Follow all stated deadlines and process instructions
- Engage with specificity and relevance
The Program includes defined 48-hour completion windows following each live session. Completion windows are part of the Program structure and must be observed in order to proceed into interpretation alignment.
Failure to meet participation requirements may limit the effectiveness of the Program and may result in the need for additional paid support or the conclusion of participation.
Design Miwa retains sole authority over:
- program structure and pacing
- interpretation alignment methodology
- submission requirements and deadlines
- final deliverable issuance
3. Participant Responsibility & Input Standards
The Program relies on the Participant’s ability to provide clear, concrete, and relevant information. Vague, incomplete, or misaligned submissions impede the interpretive process. If submitted materials lack sufficient clarity after guided sessions and optional office hours, Design Miwa may:
- Request clarification within defined limits, or
- Offer an additional paid private alignment session, or
- Conclude the Program with the work completed to date
The Participant agrees to:
- Attend scheduled live sessions or review recordings where applicable
- Complete required preparation and submissions within stated timeframes
- Follow the instructions provided for completing the Branding Profile and related materials
Responses that rely primarily on aspiration, metaphor, generalized intention, emotional language, or unrelated context may be considered non-usable if they do not provide sufficient clarity to support interpretation and alignment work.
Submission of content does not, by itself, indicate that the content meets the usable input standard. The usefulness and scope of program outputs depend directly on the clarity, specificity, and relevance of the information provided by the Participant. Participation does not guarantee outcomes beyond the scope of the Program.
Design Miwa does not infer, assume, guess, or substitute information on behalf of the Participant when required inputs are unclear, incomplete, or non-responsive. Design Miwa’s role is to interpret and align the information provided, not to extract, reconstruct, or invent clarity that has not been supplied by the Participant.
4. Branding Profile Use & Interpretation
The Branding Profile documents the vision, meaning, direction, and responsibilities for which the participant’s brand is accountable. It is not a design brief, a set of prescriptive design instructions, or a completed brand identity. The purpose of the Branding Profile is to provide clarity and contextual grounding so that future decisions are made with coherence rather than assumption.
The Working Branding Profile is used during live sessions and completion windows. The Final Branding Profile is issued separately following profile locking and interpretation alignment review.
When shared with designers, collaborators, or internal teams, the Branding Profile must be used as interpretive guidance, not as literal execution instructions. Design Miwa’s role in this process is strategic and interpretive; any visual identity, creative execution, or design work developed outside of Design Miwa is undertaken independently and reflects the decisions of the executing designer or team. Design Miwa is not responsible for the interpretation, execution, or outcome of design work performed by third parties.
5. Completion Threshold and Submission Sufficiency
A Branding Profile section may be deemed incomplete if required questions are left unanswered, answered with materially vague responses, or addressed with information unrelated to the prompt.
Incomplete or insufficient submissions may limit the scope of interpretation alignment and do not obligate Design Miwa to provide additional clarification, revisions, or extensions beyond what is explicitly included in the Intensive.
6. Branding Profile Working Document
The Branding Profile is a working document used during live sessions and, where applicable, optional office hours.
The Participant acknowledges that:
- The Branding Profile is a structured documentation tool
- Completion requires disciplined, responsive input
- The document is not intended for freeform journaling or exploratory ideation
7. Locking, Interpretation Review, and Final Deliverable
Participants complete the Branding DNA Intensive in structured stages.
- Following Session 1, participants are provided a 48-hour completion window to refine and complete the assigned sections within the Working Branding Profile.
- Following Session 2, participants are provided an additional 48-hour completion window to finalize the remaining sections.
- Optional office hours are offered after Session 2 for clarification only. Office hours are not intended for major restructuring, setting a new direction, or reopening foundational decisions.
- Editing access to the Working Branding Profile remains open through both completion windows and the optional office hours period.
Following the stated submission window and optional office hours, the Branding Profile will be locked. Locking establishes a procedural boundary that allows Design Miwa to conduct an interpretation alignment review. Locking does not indicate approval, completeness, or sufficiency of all submitted content.
Interpretation alignment review begins only after profile locking.
The Branding Profile is considered finalized as a program deliverable only after Design Miwa issues the completed document following the interpretation alignment review. Design Miwa retains professional discretion to make interpretation adjustments necessary to preserve clarity, coherence, and alignment with the documented vision.
The Final Branding Profile will be delivered within 5–12 business days following profile locking. Delivery timing may vary within this range depending on review volume.
8. Remedy for Insufficient Clarity
If the submitted information is insufficient to support interpretation alignment, the Participant may elect to schedule a separate, paid Short Private Alignment Session for focused clarification.
This session:
- is limited in duration
- is strictly scoped to the clarification of previously submitted material
- does not reopen or expand the Intensive scope
If the Participant declines this option, Design Miwa may proceed using the available information or limit deliverables accordingly, without refund, extension, or additional obligation.
9. Interpretation Authority
Interpretation alignment within the Program is conducted at Design Miwa’s professional discretion. Design Miwa retains authority over how meaning, tone, and direction are interpreted within the scope of the Program.
Interpretation alignment does not constitute design execution and does not obligate Design Miwa to provide future services.
10. Intellectual Property
Participants retain ownership of their original business information, ideas, and brand content.
Design Miwa retains ownership of all frameworks, methodologies, prompts, structures, tools, teaching materials, and interpretive processes used in the Program. These materials may not be reproduced, taught, licensed, or resold.
The Branding Profile may not be represented as a Design Miwa design system, visual identity, or execution output.
11. Optional Additional Services
Any additional services, including private alignment sessions, identity readiness reviews, or future brand identity development, are separate engagements governed by separate agreements and fees.
Participation in the Program does not require or guarantee continuation into additional services.
12. Payment, Access & Refund Policy
Program fees are due in full prior to participation, unless otherwise stated in writing.
Because the Program includes live facilitation, intellectual property access, and time-bound participation, fees are non-refundable once the Program access materials have been provided and/or the Program has begun.
Access to Program materials includes, but is not limited to, the Participant Workbook, Working Branding Profile workspace, AI-assisted clarity tools, and any structured documentation environment provided as part of enrollment.
Access to Program materials may be time-limited and subject to completion requirements.
13. Limitation of Liability
Design Miwa is not responsible for business outcomes, financial performance, marketing results, or creative decisions made during or after the Program. The Program provides strategic clarity and documentation, not guarantees of success.
14. Non-Participation and Program Boundaries
Failure to engage, submit required materials, or follow participation guidelines does not entitle the Participant to refunds, extensions, or additional services. Design Miwa reserves the right to pause, limit, or conclude participation if program standards are not met.
15. Acceptance of Terms
By enrolling in the Branding DNA Intensive and completing payment, the Participant confirms they have read, understood, and agreed to these Participation Agreement & Program Terms, including the responsibilities, boundaries, and conditions outlined above.
